1) Acceptance of Terms
These Terms of Service (“Terms”) are a binding agreement between you and Flipsalot LLC (“Flipsalot”, “we”, “us”). By accessing or using flipsalot.com, related subdomains, and features (the “Service”), you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.
2) Changes to Terms
We may update these Terms from time to time. For material changes we will update the “Last updated” date and may notify you via the Service or email. Your continued use after changes take effect constitutes acceptance.
3) Eligibility & Use
You must be at least 13 years old to use the Service. You agree to comply with all applicable laws and to use the Service only for lawful purposes.
4) Accounts & Security
You are responsible for the accuracy of your account information and for maintaining the confidentiality of your login credentials. You are responsible for activity under your account. Notify us promptly of any unauthorized use.
5) Free Trial, Subscriptions & Billing
We may offer a free trial (e.g., 7 days). Paid subscriptions renew automatically each billing cycle unless canceled. Payments are processed securely by Stripe, our third-party payment processor, who acts as the merchant of record. Flipsalot does not store full card numbers. Taxes may apply.
Card required for trial. If you start a trial, your payment method is authorized at checkout and your subscription will begin billing automatically when the trial ends unless you cancel before the trial expires.
One-trial-per-person policy. Free trials are limited to a single use per person/account. To enforce this, we retain limited account identifiers (e.g., your email and Stripe customer/subscription IDs) even after cancellation. Attempts to obtain repeat trials (e.g., by creating new accounts or manipulating payment profiles) are prohibited and may result in denial of service.
You can cancel anytime through the Stripe billing portal; access continues until the end of the current paid period. Except where required by law, we do not provide refunds or credits for partial billing periods, trial conversions, or unused features.
We may change prices or plan features prospectively with notice. Founding-member promotional pricing—if offered—remains in effect while the subscription stays continuously active; canceling and later re-subscribing may forfeit promotional rates.
6) Fair Use, Rate Limits & Quotas
We may enforce per-account search limits, rate limits, and other usage controls to protect Service quality. You will not attempt to bypass quotas or eligibility rules (e.g., by creating multiple accounts, sharing credentials, automating calls, or attempting to obtain multiple free trials).
We may suspend or terminate accounts that attempt to automate access, systematically harvest outputs, or otherwise abuse the Service beyond its intended use.
7) Acceptable Use
You will not: (a) reverse engineer, decompile, or derive source code; (b) interfere with or disrupt the Service; (c) access or collect data via bots, scrapers, or automated means not authorized by us; (d) infringe third-party rights or violate law; (e) resell, rent, or sublicense the Service without our permission; (f) circumvent security, rate limits, or access controls; (g) build a competing dataset by bulk copying or exporting Service content.
8) Data Sources & Non-Affiliation
The Service summarizes facts visible on public marketplace listings (e.g., title, price, shipping, dates, condition, and listing IDs) and may link to those listings (e.g., eBay). Flipsalot is not affiliated with or endorsed by eBay Inc. “eBay” is a trademark of eBay Inc. used only for identification.
Results may differ from what you personally observe on eBay due to regional variations, rotating proxy endpoints, or changes in eBay’s platform. Data is provided on a best-effort basis and is not guaranteed to match your own searches.
We do not claim ownership of third-party listing content. If you believe material shown through the Service infringes your rights, email info@flipsalot.com with listing URL(s) and details; we will review and, where appropriate, remove or restrict access.
9) Analytics & No Professional Advice
We generate derived analytics (e.g., sell-through rate, medians/averages, price bands, recent activity snapshots) from public facts. Metrics can vary by region, time, and marketplace changes and are provided for informational purposes only. Calculated metrics such as sell-through rates, averages, and medians are estimates derived from publicly visible listings and may not reflect complete marketplace activity.
The Service does not constitute financial, investment, tax, or legal advice; your buying/selling decisions are your own.
10) Your Content
You retain ownership of content you submit (e.g., saved searches, sales log entries). You grant Flipsalot a non-exclusive, worldwide license to host, display, process, and use your content solely to operate, secure, and improve the Service. You represent that you have all rights necessary and that your content complies with law and these Terms.
11) Privacy
Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and safeguard information. By using the Service, you consent to those practices.
12) Service Changes & Availability
We may add, modify, suspend, or discontinue features at any time. We strive for high availability but do not guarantee the Service will be uninterrupted or error-free. Except as required by law, we are not liable for downtime or data loss.
13) Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service or metrics will be accurate, reliable, timely, or error-free. We specifically disclaim responsibility for discrepancies, omissions, or inaccuracies in marketplace data displayed by the Service.
14) Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL FLIPSALOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID TO FLIPSALOT FOR THE SERVICE IN THAT PERIOD.
15) Indemnification
You agree to defend, indemnify, and hold harmless Flipsalot and its affiliates, officers, and employees from claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service or violation of these Terms.
16) Governing Law & Venue
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction and venue of the state or federal courts located in Michigan to resolve any dispute not otherwise resolved informally.
17) Termination
You may stop using the Service at any time. We may suspend or terminate access if we believe you violated these Terms or risk harm to the Service or others. Upon termination or cancellation, your right to use the Service ends.
Account records after cancellation. We retain a minimal set of account identifiers (e.g., your email and Stripe customer/subscription IDs, and necessary billing records) for fraud prevention, audit, and legal/compliance purposes—including enforcing the one-trial-per-person policy. Other user content (e.g., saved searches and sales logs) may be deleted or anonymized per our Privacy Policy.
Sections that by their nature should survive (e.g., intellectual property, disclaimers, limitations of liability, indemnity) will survive termination.
18) Electronic Communications; Beta Features
You consent to receive notices electronically (e.g., email or in-product). From time to time we may release beta or experimental features; such features are provided “as is,” may be discontinued, and may be subject to additional terms.
19) Copyright & Takedown
If you believe content accessible through the Service infringes your rights, contact us at info@flipsalot.com with sufficient detail (your contact info, the work claimed infringed, the allegedly infringing material/URL, and a statement of good-faith belief). We may remove or restrict access in our discretion.
20) Miscellaneous
These Terms are the entire agreement between you and Flipsalot regarding the Service and supersede prior agreements. If any provision is unenforceable, the remainder remains in effect. You may not assign these Terms without our consent. We may assign our rights and obligations as part of a merger, acquisition, financing, or sale of assets.
